Agreement Overview

This Material Transfer Agreement (“Agreement”) governs the purchase, transfer, and use of all research materials including peptides, research chemicals, solvents, and laboratory supplies (“Materials”) from Arcane Peptides. By purchasing from our platform, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement.
All Materials provided by Arcane Peptides are strictly for in vitro research purposes only and are intended for use by qualified professionals in controlled laboratory settings.

Purchaser Qualifications and Certifications

By completing any purchase from Arcane Peptides, you certify and warrant that:
  • ✅ You are a trained professional in a relevant scientific field (chemistry, biology, pharmacology, or related disciplines)
  • ✅ You are affiliated with a legitimate research institution, university, or qualified laboratory facility
  • ✅ You are at least 21 years of age and legally authorized to purchase research materials
  • ✅ You possess the technical qualifications and expertise necessary to safely handle, store, and use research chemicals
  • ✅ You have access to appropriate facilities, safety equipment, and waste disposal systems
  • ✅ You will restrict access to Materials to authorized and properly trained personnel only

Permitted Uses

Materials purchased from Arcane Peptides may ONLY be used for the following purposes:
  • ✅ In vitro scientific research and experimentation in controlled laboratory settings
  • ✅ Non-diagnostic laboratory analysis and testing
  • ✅ Educational purposes within accredited academic institutions
  • ✅ Development of research protocols and methodologies
  • ✅ Basic research to advance scientific knowledge
  • ✅ Research and development activities in compliance with TSCA regulations (15 U.S.C. §2601 et seq.)

Strictly Prohibited Uses

The following uses are STRICTLY PROHIBITED and violation may result in immediate account termination and legal action:
  • Human consumption or administration – Materials must NEVER be consumed, injected, inhaled, or otherwise administered to humans under any circumstances
  • Veterinary or animal treatment – Materials are not for therapeutic, diagnostic, or treatment purposes in animals
  • Clinical applications – Materials are not for use in clinical trials, patient treatment, or medical diagnosis
  • Diagnostic purposes – Materials are not validated for diagnostic procedures as per 21 CFR 809.10(c)(2)(i)
  • Manufacturing or commercial production – Materials may not be used for commercial manufacturing without proper licensing and authorization
  • Resale or redistribution – Materials may not be resold, transferred, or distributed to third parties
  • Any illegal activities – Materials must not be used for any purpose that violates local, state, federal, or international laws

Regulatory Compliance Requirements

Federal Compliance

Purchaser agrees to comply with all applicable federal regulations including but not limited to:
  • • Toxic Substances Control Act (TSCA), 15 U.S.C. §2601 et seq. – governing research and development activities
  • • FDA regulations under 21 CFR 809.10(c)(2)(i) – “For Research Use Only” labeling requirements
  • • DEA regulations for controlled substances (where applicable)
  • • OSHA Hazard Communication Standard (29 CFR 1910.1200)
  • • EPA regulations for chemical waste disposal and environmental protection
  • • DOT regulations for transportation of hazardous materials

State and Local Compliance

Purchaser is solely responsible for ensuring compliance with all applicable state and local regulations including:
  • • State licensing requirements for research facilities and personnel
  • • Local chemical storage and handling ordinances
  • • State-specific waste disposal and environmental protection laws
  • • Regional workplace safety requirements
  • • Fire code and building safety regulations

Storage and Handling Protocols

All Materials must be handled in accordance with the following requirements:
  • Storage Conditions: Materials must be stored exactly as specified on product labels (temperature, light exposure, humidity)
  • Access Control: Materials must be kept in secure, locked storage areas with restricted access
  • Personnel Requirements: Only authorized personnel with appropriate training may handle Materials
  • Safety Equipment: Appropriate personal protective equipment (PPE) must be worn at all times
  • Documentation: Maintain accurate records of Material receipt, use, and disposal
  • Safety Data Sheets: Consult provided SDS before handling any Materials
  • Disposal: All Materials must be disposed of as hazardous waste in compliance with applicable regulations

Assumption of Risk and Liability

By purchasing Materials from Arcane Peptides, purchaser acknowledges and agrees that:
  • • Purchaser assumes all risks associated with the handling, storage, use, and disposal of Materials
  • • Purchaser has the knowledge and expertise to safely work with potentially hazardous research chemicals
  • • Purchaser will maintain appropriate liability insurance coverage for research activities
  • • Purchaser accepts full legal responsibility for ensuring compliant use of all Materials
  • • Arcane Peptides provides Materials “as is” without warranties beyond those explicitly stated

Indemnification

Purchaser agrees to indemnify, defend, and hold harmless Arcane Peptides, its officers, employees, agents, and suppliers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
  • • Purchaser’s use, handling, storage, or disposal of Materials
  • • Any breach of this Agreement by purchaser
  • • Any violation of applicable laws or regulations
  • • Any injury to persons or damage to property resulting from purchaser’s activities
  • • Any unauthorized use or distribution of Materials

Record Keeping and Auditing

Purchaser agrees to:
  • • Maintain complete and accurate records of all Materials purchased, used, and disposed
  • • Provide documentation of proper credentials and facility licenses upon request
  • • Allow inspection of facilities if required by regulatory authorities
  • • Report any adverse events, accidents, or safety concerns immediately to Arcane Peptides
  • • Maintain chain of custody documentation for all Materials

Intellectual Property

  • • No transfer of intellectual property rights occurs through the purchase of Materials
  • • Research results obtained using Materials remain the property of the purchaser
  • • Arcane Peptides retains all rights to proprietary information regarding Material composition and synthesis
  • • Purchaser may publish research results obtained using Materials with appropriate citations

Breach and Termination

Arcane Peptides reserves the right to:
  • • Refuse or cancel any order at our sole discretion
  • • Terminate accounts for violation of this Agreement
  • • Report violations to appropriate regulatory and law enforcement authorities
  • • Pursue legal remedies for breach of this Agreement
  • • Modify these terms with notice to registered users

Governing Law

This Agreement shall be governed by applicable federal laws and regulations, including but not limited to the Toxic Substances Control Act and FDA regulations, as well as the state laws where the purchaser’s facility is located.

Acknowledgment and Acceptance

By placing an order with Arcane Peptides, you acknowledge that:
  • ✅ You have read and understood all terms of this Material Transfer Agreement
  • ✅ You meet all qualifications required to purchase research materials
  • ✅ You will use Materials exclusively for permitted research purposes
  • ✅ You will NOT administer Materials to humans or animals
  • ✅ You will comply with all applicable laws and regulations
  • ✅ You accept the terms of our Shipping, Refunds, and Returns Policy
  • ✅ You will maintain proper insurance and assume all liability for Material use
  • ✅ You will properly train all personnel who may handle Materials
  • ✅ You will maintain required records and documentation
  • ✅ This Agreement is binding upon you and your institution
